ARTICLE I. Name
The name of this organization is Friendly Area Neighbors (FAN).
ARTICLE II. Geographic Boundaries
Friendly Area Neighbors encompasses that area bounded by 18th Avenue on the north, Amazon Parkway on the east, 29th Avenue from the Amazon Parkway to Washington Street and 28th Avenue from Washington Street to Chambers Street on the south, and Chambers Street on the west.
ARTICLE III. Purpose
Section 1: The purpose of Friendly Area Neighbors is to build community at the neighborhood level and improve the livability of the neighborhood.

ARTICLE IV. Membership
Section 1: Membership is open to any resident, property owner, or business owner 18 years of age or older within the boundaries described in Article II.
Section 2: Each member shall have one vote per issue presented at a meeting .
Section 3: There shall be no absentee voting or voting by proxy.
ARTICLE V. General Membership Meetings and Special Issue Membership Meetings
Section 1: Four General Membership Meetings shall be held each year at a time and place to be established by the Executive Board. The fall General Membership Meeting is designated as the Annual Meeting.
Section 2: A quorum at a General Membership Meeting shall be 10 Friendly neighbors, excluding members of the Executive Board and City staff acting in an official capacity.
Section 3: Election of the Executive Board shall be at the Annual Meeting.
Section 4: The Executive Board shall forward notice of General Membership Meetings and Special Issue Membership Meetings to the City of Eugene and publish the time and place in the Friendly Area Neighborhood Newsletter, except as stated in Article IX, Section 3.
Section 5: Meetings shall be open to all interested parties.
ARTICLE VI. Selection of the Executive Board
Section 1: For the purpose of governance, up to 15 people, at large, shall be elected to an Executive Board in the Fall and shall serve for one year. Their term of office shall begin at the next regularly scheduled Executive Board Meeting.
Section 2: A quorum of the Executive Board shall consist of 5.
Section 3: Members of the Executive Board shall be elected by a majority of those in attendance at the Annual Meeting and shall serve one-year terms. The Executive Board at their next monthly meeting shall select officers.
Section 4: The Annual Meeting shall be announced in the Friendly Area Neighbors Newsletter, except as stated in Article IX, Section 3. The announcement shall list the present Executive Board members willing to continue for the next year, and shall invite others to offer their names at the Annual Meeting.
Section 5: At the Annual Meeting, the Chairperson shall present the names of Executive Board members willing to continue and ask for other nominations from the floor. A majority vote of a quorum of Friendly neighbors present shall be required for approval of the proposed slate.
Section 6: A Friendly neighbor may become an interim member of the Executive Board with the consent of a majority of a quorum the Executive Board members after she or he has attended three monthly meetings. The interim member may be a participant with the same powers as elected members, until the next annual meeting when she or he may be elected in accordance with Section 4 of this Article.
ARTICLE VII. Officers
Section 1: Selection of Officers: The officers shall consist of a Chairperson and Vice Chairperson or two Co-Chairpersons, a Secretary, a Treasurer, and a Neighborhood Leaders Council Representative. Officers shall be appointed by a majority of a quorum (5) of members of the Executive Board who have been elected by those present at the Annual Meeting of FAN.
Section 2: Duties of the Chairperson: The chairperson shall coordinate and guide the business and activities of the Executive Board and be the primary contact person for and liaison with the City of Eugene. The chairperson may attend and be a participant in any FAN sub-committee meeting.
Section 3: Duties of the Vice-Chairperson or Co-Chairperson: The Vice-Chairperson will assist the Chairperson in her/his duties upon request. In the absence of the Chairperson or in the event of her/his inability or refusal to act, the Vice-Chairperson shall execute the duties and powers of the Chairperson.
Section 4: Duties of the Secretary: The Secretary shall record the minutes of all General Membership Meetings, Special Issue Membership Meetings, Executive Board Meetings and maintain on file copies of these minutes, correspondence, and other records.
Section 5: Duties of the Treasurer: The Treasurer shall receive all FAN funds, deposit them in a financial institution approved by the Executive Board, and pay out funds authorized by the Executive Board. The Treasurer is the liaison with the City regarding FAN's funding, if any, from the City's Neighborhood Program.
Section 6: Representative to the Neighborhood Leaders Council (NLC): The NLC Representative shall serve as liaison between FAN and NLC, attend all NLC meetings, articulate the views and concerns of FAN as appropriate, and report back to the Executive Board.
Section 7: Alternative Representative: The NLC Alternative Representative will assist the NLC Representative in her/his duties upon request.
Section 8: When a vacancy of an officer position occurs during the year, the Executive Board shall select a replacement by approval of a majority of a quorum (5) of its members present at its next monthly meeting.
ARTICLE VIII. Functions of the Executive Board
Section 1: The Executive Board shall consist of up to 15 Friendly neighbors elected at the Annual Meeting and chairperson(s) of any sub-committee(s).
Section 2: The Executive Board shall meet not less than once a month. The Executive Board shall take action necessary to accomplish the purposes of FAN.
Section 3: Five Members of the Executive Board shall constitute a quorum for the transaction of business.
Section 4: The Executive Board shall be responsible for establishing the time, place, and agenda for General Membership Meetings, Special Issue Membership Meetings and Executive Board Meetings, other FAN activities and for notification of Friendly neighbors of these events in the Friendly Area Neighbors Newsletter, except as stated in Article IX, Section 3.
Section 5: The Executive Board shall present the neighborhood's opinions to the City Council, Planning Commission, or other appropriate decision-makers. Such advisory opinions shall specify whether the position is from a General Membership Meeting of the Friendly Area Neighbors, the Executive Board, or an appointed committee.
Section 6: Members of the Executive Board who give no prior notice of their absence from two consecutive meetings, either monthly or general, may be declared inactive for the purposes of voting or establishing a quorum. Inactive members may petition the Executive Board to regain their active status.
Section 7: Membership on the Executive Board terminates at once for anyone who moves from the neighborhood.
Section 8: Special Issue Membership Meetings may be called by the Executive Board on it's own initiative or at the request of five neighborhood members. Special Issue Membership Meetings shall conduct business only on the issue(s) for which the meeting was called.
Section 9: Meetings shall be open to all interested persons.
ARTICLE IX. Newsletters and Announcements
Section 1: The name of the Friendly Area Neighbors newsletter shall be Friendly Area Neighborhood Newsletter.
Section 2: The purposes of the Friendly Area Neighbors Newsletter shall be to notify neighbors of FAN General Membership Meetings, Special Issue Membership Meetings and Executive Board Meetings and to provide information on issues of interest to the neighborhood. Announcements can be sent out in the place of Newsletters for the purpose of notification.
Section 3: The newsletter or an announcement shall be published prior to each General Membership Meeting and Special Issue Membership Meeting subject to available funding. In the event that funding is not sufficient to publish notice of a meeting with a newsletter or an announcement, any alternative method of notice adopted by the Executive Board will be deemed acceptable.
Section 4: Commercial advertising shall not be permitted in the newsletter.
Section 5: The Executive Committee shall appoint the Editor, who shall be responsible to the Executive Board for the contents, format, preparation and printing of the newsletter.
ARTICLE X. Sub-Committees
The Executive Board may establish sub-committees to work on special projects for FAN. The purpose and authority of each sub-committee shall be specified at the time the sub-committee is created.
ARTICLE XI. Finances
Section 1: The association may receive funds and employ persons to further its purposes, and may own and dispose of property.
Section 2: The Executive Board shall approve the allocation of any monies and grants before expenditures commence.
Section 3: Money received as a free-will donation at General Membership Meetings, Special Issue Membership Meetings, or FAN Events shall be deposited in FAN's bank account to be used for general operating expenses.
ARTICLE XII. Charter Amendments
Section 1: This Charter may be amended at any General Membership Meeting by a two-thirds vote assuming there is a quorum. Written notice of discussion of proposed revisions to the charter and vote shall be given to Friendly Neighbors in the Friendly Area Neighbors Newsletter except as stated in Article IX, Section 3, prior to the General Membership Meeting where changes will be presented, discussed and voted on. Changes so approved by FAN shall become effective upon approval by the Eugene City Council.
Section 2: The Executive Board shall appoint a Charter Review Sub-Committee for the periodic review of the FAN Charter, as needed.
